The team includes 36 lawyers and four directors specialising in equity capital markets, debt capital markets and securitisa-
tion, global transactional banking and restructuring. In the last 12 months the team has handled several significant deals,
complex restructuring transactions and regulatory matters. Santander was the first Iberian entity to implement the phased-in
requirements of Initial Margin which involves the negotiation of new and complex documentation, which has to be agreed
with a significant number of diverse players. The team has been involved in very challenging restructuring deals involving
Abengoa, Duro Felguera Group, Celsa Group, Comsa or Isolux.

To ensure the sustainability of the beverages business in the HoReCa (Hotels, Restaurants & Cafeterias) sector in Spain, Pep-
siCo formed a strategic partnership with another beverage company with a complementary product portfolio, with the aim
of optimising their position while enhancing the quality of service for customers and range of products available. The legal
team played a key role in the design, negotiation and implementation of this project, which involved the merger of both
companies’ business units in the HoReCa sector and the development of a proactive approach to the Spanish competition
authorities with clear guidelines for the successful implementation of the partnership. It also involved the consolidation and
termination of several hundreds of distribution agreements, with a focus on minimising litigation risk.

All activities in the ethics & compliance department are focused on continuing to build employees’ capability to exercise
good ethical judgment and speak up with confidence when they see business processes that can be improved or become
aware of problems. In January 2018, the team engaged all sales departments in an interactive digital session on key drivers
of ethical behaviour associated with their day-to-day activities. The sessions were co-animated with the management
team and involved a ‘late-night talk show’ with César Mourão. Using direct employee feedback, the team also engaged
a wider range of employees in strategic real-life example workshops. Data shows these measures have led to employees
speaking up and developing their ethical judgment.
