NOMINATING AND GOVERNANCE COMMITTEE

The Nominating and Governance Committee assesses the requirements for membership and manages the process of nominating candidates for the Board and its committees . It ensures that procedures are in place for appropriate Board reporting , and leads the orientation , evaluation , and continuing education of Board and committee members .
2023 – 2024 Highlights
• Began the review process for the Code of Conduct ( Board of Governors , Committees and Foundation )
• Continued the evaluation of the required skills and competencies for current and upcoming Board and committee service
• Implemented a targeted appeal to attract candidates with philanthropy and insurance expertise , and expanded alumnae outreach
• Started an online reference section for Governors in the Board ’ s online platform
Looking forward , the Nominating and Governance Committee will complete the Code of Conduct review and reference section , and update the skills matrix for committee members and Governors . The Committee will continue the evaluation of the required skills and competencies for current and upcoming Board and committee service , with a focus on ensuring diversity within the Board and Committees and that members have the skills and expertise to meet the priorities of the School .

The Risk Management Committee helps ensure that the School has appropriate risk management policies and procedures in place and is adhering to them .
2023 – 2024 Highlights
• Reviewed and provided feedback on the School ’ s revised risk framework
• Added cybersecurity and technology expertise to the Committee
• Reviewed and provided feedback on School-related ‘ near misses ’, and cybersecurity and campus security updates
Looking forward , the Committee will continue the ongoing review and assessment of internal and external risks , and supports the School as it evolves its approaches to risk monitoring and management , including cybersecurity and campus security , in line with best practices .
