Setting the Tone
Our corporate governance framework ensures accountability, fairness, and transparency in our relationship with our stakeholders. Our board members provide strategic guidance while adhering to sound corporate governance practices as defined in our Code of Conduct for Directors and Corporate Governance Guidelines. As of July 1, 2016, the board structure consisted of the Chairman / Chief Executive Officer and eight independent directors. We added two new directors to our Board of Directors in FY15: Stephanie C. Hildebrandt and Kathleen M. Shanahan, increasing the gender diversity of the Board.
The Board has regularly scheduled quarterly meetings and has three active organizational committees:

As a publicly traded company, we follow the New York Stock Exchange Corporate Accountability and Governance Standards and have adopted the criteria of“ Internal Control, Integrated Framework( 2013) issued by the Committee of Sponsoring Organizations of the Treadway Commission,” as required. Our board of directors also follows the legal standards and board practices endorsed by the Conference Board’ s Corporate Governance Handbook.
In addition to the regularly scheduled quarterly meetings, the Board and committees hold additional meetings as needed. Sustainability is a regular agenda topic in our board meetings, and our directors are engaged in the review of our sustainability objectives, targets and overall performance on an annual basis.
Consistent with Principle 15 of“ The Rio Declaration on Environment and Development,” the executive team supports the use of the precautionary principle in its approach to risk management in its strategic planning and policy implementation. Sustainability has also been added as an agenda item on our monthly executive team strategy calls and our monthly management team status calls.
