NANA

Each year , NANA has an Annual Meeting at which shareholders vote on the election of Directors to the NANA Board . This year , shareholders will also vote on approval of an Amendment to the NANA Elders ’ Settlement Trust Agreement . Please review the Proxy Statement for information about these proposals .

Shareholders who are unable to attend the Annual Meeting in person may complete a Proxy . All shareholders are encouraged to submit a Proxy even if they can attend the meeting . There is a set of door prizes just for those shareholders who submit Proxies . This booklet provides instructions regarding how to vote by Proxy .

Voting by Proxy

A Proxy is a form that authorizes Proxy Holders to vote your shares for you at the Annual Meeting . Each Proxy sent out by NANA designates three ( 3 ) Proxy Holders whose job is to vote the Proxy in the exact way you have indicated on the Proxy . Shareholders have the option of using the enclosed paper Proxy or using an online Proxy . Both forms identify the total number of shares you have to vote at the 2018 Annual Meeting , and both forms provide the same choices to direct the Proxy Holders on how to vote those shares .

A Proxy must be ( 1 ) signed by the shareholder , ( 2 ) contain the shareholder ’ s identification number , and ( 3 ) be submitted on time .

Proposal 1 - Election of Directors

Choose the candidate or candidates you believe will serve you best on the NANA Regional Corporation Board of Directors .

When a Proxy is turned in and it has not selected any candidate , the votes represented by the Proxy will be divided equally among all the candidates . For instance , if there are ten candidates , and the votes represented by the Proxy total 100 votes , then each of the ten candidates would receive 10 votes each . This means that votes represented by the Proxy do not affect the election of directors .

These are the NANA Proxy Holders for this year .

Proposal 2 - Amendment to the NANA Elders ’ Settlement Trust Agreement

The Board of Directors is recommending an Amendment to the NANA Elders ’ Settlement Trust Agreement . More information regarding this Proposal is in the Proxy Statement . You have three choices – “ YES ,” “ NO ,” and “ ABSTAIN .” If you do not check any of these options , the votes represented by the Proxy will be voted to approve the amendments to the NANA Elders ’ Settlement Trust Agreement .

Revoking Your Proxy

If you submit a Proxy but later decide you want to revoke or change your vote , you have options :

1 . Send a signed , written letter or statement to BDO USA , LLP , telling them that you want to revoke your Proxy . The letter must be received by BDO USA , LLP by 5 p . m ., AST , on Friday , March 9 , 2018 .

2 . Sign a new Proxy , and deliver it by mail , fax or online by the deadline . This automatically revokes your prior Proxy .

3 . Attend the Annual Meeting in person and give oral notice at the registration desk that you want to revoke your Proxy before the close of registration . They will then give you a ballot to vote at the Annual Meeting . Voting at the Annual Meeting will revoke your prior Proxy .

Reissued Proxies

Shareholders who did not receive a Proxy or lost their Proxy can request a reissued Proxy . To request a reissued Proxy , shareholders should call the Shareholder Records Department at 1 ( 800 ) 478-3301 or NANA ’ s Legal Department at 1 ( 907 ) 265-4100 .

All Proxies must be delivered to BDO USA , LLP .

Proxies must be delivered by one of the following methods :

1 . Mailed to BDO USA , LLP , P . O . Box 240529 , Anchorage , AK 99524-9977 .

2 . Emailed to BDO USA , LLP at nanaelection @ bdo . com with Proxy attached in PDF format .

3 . Faxed to BDO USA , LLP at 1 ( 907 ) 278-5779 .

4 . Voting online at www . nanavote . net by using your shareholder ID # and PIN , located on the paper Proxy .

5 . Paper Proxies may also be turned in at the Annual Meeting prior to the close of registration .

This section applies to any other matter that may come up at the Annual Meeting , which would require a vote of the shareholders . NANA does not have any additional business planned at this year ’ s Annual Meeting , other than the election of directors ( Proposal 1 ) and the Amendment to the NANA Elders ’ Settlement Trust ( Proposal 2 ). If you check “ YES ,” you are authorizing the Proxy Holders to use your votes on any other matter that arises at the Annual Meeting . If you check “ NO ,” you are NOT authorizing the Proxy Holders to use your votes . If you check neither , you are authorizing the Proxy Holders to use your votes .

This section tells you how many votes you have . The number of votes you may cast in the election of directors is determined by ( a ) the number of shares you own ( including the shares of your children if you are the custodian ), and ( b ) the number of seats that are up for election . Your total number of shares is multiplied by the number of seats that are up for election .

This section is where you vote on Election of Directors . If there is only one candidate for the Board that you want to vote for , enter the number of votes identified on your Proxy beside the name of that candidate or just mark the candidate and all of your votes will go to him or her . If there is more than one candidate you ’ d like to vote for , divide your total number of votes any way you want between those candidates , or mark the candidates you want to vote for and your votes will be divided equally among them .

This section is where you vote on Proposal 2 – Amendment to the NANA Elders ’ Settlement Trust Agreement . By voting “ YES ,” you approve of the Amendment to the NANA Elders ’ Settlement Trust Agreement . By voting “ NO ,” you do not approve of the Amendment . By voting “ ABSTAIN ,” you refrain from voting .

This is where you sign and date the Proxy . Sign your Proxy as the name appears on the pre-printed Proxy you received in the mail . If your name is incorrect because of marriage , divorce or other reasons , a Change of Name or Address form found on www . nana . com / forms must be turned in first to Shareholder Records before using that name on the Proxy .

When a shareholder prints their name as a signature or signs their name with “ X ,” the printed name or “ X ” must be witnessed by two ( 2 ) adults who sign their name on the Proxy to verify the individual ’ s printed name or marks .

Please read the enclosed Proxy Statement and voting instruction handout . By returning this Proxy , the undersigned hereby appoints Proxy Holder 1 , Proxy Holder 2 , and / or Proxy Holder 3 with power of substitution , to cast all votes I am entitled to vote for myself or as a custodian at the March 12 , 2018 Annual Shareholders ’ Meeting of NANA Regional Corporation , Inc . in Buckland , Alaska , and any adjournment thereof , as provided in this Proxy .

The Board of Directors recommends that you vote for the candidate or candidates you would like to see elected to the Board of Directors . If you fail to indicate a choice for directors , the votes represented by this Proxy will be divided equally among all the individuals nominated . If you do not vote “ YES ,” “ NO ,” or “ ABSTAIN ” regarding the Amendment to the NANA Elders ’ Settlement Trust , the votes represented by this Proxy will be to approve the Amendment .

If any other business properly comes before the Annual Meeting , do you authorize the Proxy Holders to vote in their discretion on your behalf ? Yes No If neither box is checked , the Proxy Holders will be authorized to vote in their discretion .
