our HOA attorney?

issues that were in direct conflict with
our governing documents. The HOA
attorney represents all of the HOAs,
not the board. She is there to help us
insure that we are staying within the
CCC governing documents.

had the special meeting
Jan. 28. This story is in
question-and-answer format to
make it easier to understand.
Why did we need to call a “special
meeting?”
The Charbonneau Country Club
(CCC) governing documents (ORS 94,
our By-Laws, and our CCRs) allow the
membership to call for a special meet-
ing of the association at any time, and
for any reason. A signed petition by
at least 50 members (representing 50
residences) or a vote of at least two
board members is all that is required.
A group of members (petitioners)
presented the board with the required
number of signatures in November.
Why was Jan. 28 chosen?
Any meeting, either special or an-
nual, requires certain steps to be tak-
en prior to the meeting. All homeown-
ers have to be notified in plenty of
time to prepare for the meeting. Prox-
ies have to be distributed and then
collected from those members not
able to attend. An agenda for the
meeting had to be developed and ap-
proved by the board, then distributed.
Why did some people receive more
than one proxy?
Proxies and a letter from the peti-
tioners were sent to most of the home-
owners. The board also sent a letter
and proxy to insure that everyone
who could not be at the meeting were
assured a voice. The board sent out a
second letter with updated additions
to the agenda.
What did the petitioners want?
The petitioners brought four issues
that they wanted the membership to
vote on. CCC’s attorney, Michele Da-
Rosa, reiterated what she had said at
the December board meeting. The-
board is obligated to act in accor-
dance with the governing documents
and state law. The documents do not
grant the membership the right to
overturn any board decision or policy
by a membership vote at a meeting.
The documents outline specific ways
to change board direction, including
the voting of new board members
and/or changing the By-Laws and
CCRs in the manner prescribed by
