ONLINE PROXY INSTRUCTIONS
You have the option to vote your proxy online as an alternative to the paper proxy. If you submitted a paper proxy, you may also use the online system to view or change your votes. This is because after the ballot tabulator receives a paper proxy, your paper proxy votes are entered into the online system. If you log in to the online proxy system, you will be able to see your paper proxy votes online.
The online proxy is set up in a manner in which, if you wish, you can change your instructions on how to vote your shares as often as you wish up to the deadline.
If you choose to file your proxy online, you are still eligible for the proxy prizes.
Things you will need in order to submit your online proxy:
• A computer with internet access
• Your shareholder ID # and PIN, which are located at the bottom of your printed proxy or in the email you received if you opted to receive your annual meeting packet electronically

• Go to: www. nanavote. net
• Enter your shareholder ID # and PIN, located at the bottom of your paper proxy or in your email.
• Once you have entered your shareholder ID # and PIN, click the
Login button to log in to the site.
•( Option A) If you are voting for one or more candidates, you may type the number of votes you want each candidate to receive.
•( Option B) Or, you may check the candidates you would like to vote for and click Distribute Votes. Under option B, the votes will be evenly divided among the candidates you have selected.
•( Option C) Or, you may choose to vote for all candidates equally. Under option C, your votes will be evenly divided among all candidates. In practical terms, this means that your votes will not affect the results of the election.
• Click Next at the bottom right of the page to continue.

• You may keep your current choices by clicking Logout.
• You may revoke your existing proxy and make different selections by clicking Revoke.

If you wish to vote for all candidates equally, click here.

You may type the number of votes you want the candidate( s) to receive into the boxes here.
IMPORTANT:
If you give no instructions or make no choices, you will receive an error message instructing you to make a selection. The board of directors recommends that you vote for the candidate( s) you would like to see elected.
OPTION B
Or, you may check the box next to the candidate( s) for whom you wish to vote, and click Distribute Votes at the bottom of the page. This will equally distribute all of your votes among the candidates you have checked.
