Membership Committee ( Hereinafter referred to as MemC )

Composition : The MemC shall consist of no fewer than five members and is co-chaired by a chairperson who shall have served on the committee previously , and the Treasurer .
Purpose : MemC monitors membership trends including but not limited to growth , retention , engagement , and benefits . It shall develop programs to gauge and support membership interests and orientations in such a way as to allow the Association to be a good reflection of West Virginia physicians . It may collaborate with The EdC and PubC . They all have the authority to investigate membership violations and recommend disciplinary action .
Physician Wellness Committee ( Hereinafter referred to as WellC )

Composition : The WellC shall consist of a minimum five ( 5 ) voting members and shall be co-chaired by the Past President and a Board appointee with experience in health and wellness .
Purpose : The WellC monitors physician wellness of the membership of the WVSMA and monitors trends in West Virginia and nationally . It develops and / or adopts programs to mitigate and / or address acute and chronic challenges to physician wellness at various career stages . It may collaborate with The MemC and PubC .
Constitution and Bylaws Committee ( Hereinafter referred to as ByLawC ) ii .
Purpose : The ByLawC reviews the Constitution and Bylaws of WVSMA for irregularities , conflicts , or ambiguities and recommends amendments to the same as appropriate .
ARTICLE X : American Medical Association Delegation ( Hereinafter referred to as AMA-D )
1 . Composition : AMA-D consists of AMA Delegates and Alternate Delegates as appointed by the Board , in addition to the President . The Board shall appoint one person as chairperson . The term for the delegates is two years and is renewable . Delegates are appointed in alternating cycles . The Board may appoint emergency alternate delegates when needed .
2 . Purpose : AMA-D monitors national and AMA related developments and represents WVSMA at the AMA . They report to the Board and issue biannual AMA-D reports .
ARTICLE XI : Parliamentary Authority
1 . The rules contained in the current edition of Robert ’ s Rules of Order Newly Revised shall govern the meetings of the WVSMA as applicable , but only to the extent that such are not inconsistent with these Constitution and Bylaws and any special rules of order the WVSMA may adopt .
ARTICLE XII : Amendment of Constitution and Bylaws
1 . A minimum of 15 % of the eligible voting members of WVMA or two-thirds of the Board may propose amendments to these Constitution and Bylaws .
2 . The Constitution and Bylaws may be amended at any annual meeting of the WVSMA by a two-thirds vote , provided that the amendment has been submitted in writing to the Board no less than 90 days prior to the annual meeting . The proposed amendment shall be publicized to and accessible by the membership on the electronic platform for a minimum of thirty days prior to the annual meeting . i .
Composition : The ByLawC shall consist of a minimum of five ( 5 ) voting members and shall be co-chaired by the Past President and a Board appointee .
3 . Amendments go into effect the following annual meeting or as specified by the Board .
