The Board shall approve all policies and develop plans to implement them if indicated .
Policy reconsideration . The Board may return any member-initiated policy back for reconsideration upon a vote of two-thirds of the Board . A policy referred for reconsideration requires 50 % quorum , and two-thirds majority of favorable votes for passage . Provided , that if such policy fails to pass , it may not be brought up again for consideration for a minimum of one year .
ARTICLE V : Governance
The WVSMA is governed by the Board , which shall have all executive , disciplinary , and supervisory power over the Association . It may fix the hour , place , and medium ( in-person , virtual , or hybrid ) of any annual , regular , or special meetings , and may perform such other duties as are specified by these Constitution and Bylaws .
1 . Board Composition . The Board is composed of 13 elected and four appointed members who are determined as follows :

Elected Members : Elected trustees hold the voting power of the Board and consist of four categories : six regional trustees , one postgraduate trustee , one medical student trustee , and six at-large trustees .

Election Process : The Executive Director shall accept Trustee nominations from voting members who are in good standing no later than May of the election year .
( 1 ) A minimum of 10 sponsor-members who belong to the nominated categories , or a nomination by the Nominating Committee , are required for each trustee nomination .
( 2 ) Elections are conducted electronically or by mail in June of the election year and are won by a majority ranked-choice voting .
( 3 ) The results of the elections are announced at the conclusion of the voting period and the terms of the Board commence at the next Annual Meeting or no later than the August 31st , whichever is earlier .
semi-retired , and retired members who practice or live in their designated region . If a voting member resides in one region and practices in another , the vote is counted in the practice region . A retired member votes in the corresponding residence region . Regions are determined by the Board in such a way as to reflect the current distribution of practicing physicians and may be updated via a majority vote of the Board once every three terms .
( 2 ) Postgraduate trustee must be a resident member at the time of nomination and throughout the trustee ’ s term . The postgraduate trustee is elected by the resident members .
( 3 ) Medical student trustee must be a student at the time of nomination and throughout the trustee ’ s term . The medical student trustee is elected by the medical student members .
( 4 ) At-Large trustees may be any member in good standing and can be sponsored by any combination of sponsors .
b . Appointed members consist of the following : i .

There shall be one physician trustee appointed by each medical school in West Virginia who has an active group membership agreement who are current voting WVSMA members .
There shall be two non-physician trustees . The voting members of the Board appoint two nonphysician trustees . Such trustees are expected to have knowledge and skill outside the field of medicine .
2 . Oath of Office . Each trustee , upon assuming the duties set forth herein , shall swear or affirm an oath , in the form prescribed by the Board .
3 . Term of Office for Board Members . Each trustee serves for three years and may be permitted to stand for reelection one time . Trustees may be reelected after leaving the board for a full cycle . The Board upon receipt of recommended candidates from the Nominating Committee , shall fill any vacancies that may arise midterm . The unexpired terms filled by midterm appointment are not considered when calculating the reelection limitations in this paragraph . ii .

4 . Other Powers of the Board . The Board shall have the power to revoke the membership of those members who have been determined to violate the provisions of Article III , paragraph
