They are not likely to stay long . Do not forgo the chance to have meaningful exchanges between the board and management .
Design for discussion
As background preparation , give both groups two lists of responsibilities — a list of management responsibilities and a list of board responsibilities . The responsibilities should just be named without detail .
Have the participants talk initially within their own group and then share with the other group .
Management group : What are the key issues with which you struggle at our resort ? What does management want and need from the board ?
Board group : What are the key issues with which you struggle with respect to the board ’ s oversight responsibility for how the resort is managed ? What does the board want and need from management ?

Then discuss how you want to go forward together and develop some mutual objectives .
Individualize the template
Next , modify the proposed template for a management contract review . It should based upon your auto-renewed contract and the objectives you identified in your discussions . You can use the modified template to check in on progress after a year , and then again for the board to decide upon renewal , amendment , or termination of the management contract prior to the end of the current contract term .
Additional uses
The proposed template was designed for use prior to managementcontract renewal . It can serve not only as a performance-review tool , but also as a checklist when you are negotiating the next contract , to be sure that contract includes the provisions you want .
It would also be useful before choosing a management company , by inspiring a consistent set of questions

to pose when you interview candidates about their services .
If you are self-managed , it could be modified for the supervision and review of your management-staff performance .

I wish you the best as you deal with your auto-renewed contract . Issues that may have been swept under the rug will emerge . Hopefully , you can forge a partnership with the company supervising your onsite management to make necessary changes and improvements .
