4 THE CHARBONNEAU VILLAGER CCC President’s Column By KATHY HARP CCC Board postpones annual meeting, elections T he sin- gle most signifi- cant event in the life of our Char- bonneau Coun- HARP try Club HOA, and all HOAs, is the annual meeting. For members of the board, the weeks leading up to the annual meeting are an impor- tant time to summarize the events of the past year and make plans for the upcoming year. The annual meeting serves to address the “big- picture issues” of our community. The board will present the annual budget, new board members will be elected and upcoming capital proj- ects will be summarized. Each board committee presents their re- ports at the annual meeting. The by-laws of Charbonneau Country Club are specific regarding the an- nual meeting. Article IV, section 6 provides: “The regular annual meeting of the members shall be held on the third Wednesday of May of each year, at 6:30pm, or at a reasonable hour and on a reason- May 2020 able date on or before August 1st of each year, as may be established by the CCC Board of Directors.” Arti- cle V, Section 2: “At each annual meeting, three directors who are resident homeowners shall be elected to three year terms by the Class A members.” Article V Sec- tion 3: “The elected directors shall be elected by written ballot.” Given the restrictions due to COV- ID-19 at the current time, we looked to our legal counsel and to Communi- ty Associations Institute (CAI) for ad- vice on how to proceed with our regu- larly scheduled meetings, the annual meeting and our elections. CAI’s ad- vice is to “Suspend your annual meet- ing until the coronavirus crisis pass- es. At that point, reschedule the meet- ing … until then, existing directors re- main in place.” That is exactly how the CCC Board voted to proceed during this unprece- dented time. Three candidates sub- mitted applications for the three posi- tions: Gary Newbore, Pat Tewell and Linda Owen. The CCC Board has unanimously approved these three candidates to be added to the ballot for election by the community. Ballots will be mailed prior to the annual meeting, which will be scheduled when restrictions for COVID-19 are lifted. The regular date for the 2020 Annual Meeting of the Members of Charbonneau Country Club has been postponed until a later date to be es- tablished by the board at a subse- quent meeting. It will be dependent on lifting of the governor’s executive order. The terms of the board mem- bers scheduled to end in 2020 will con- tinue until the annual meeting can be held. Pursuant to Article VI, Section 2 of the by-laws of Charbonneau Coun- try Club, the terms of the current offi- cers will continue until their succes- sors can be elected, which will take place at the first board meeting after the Annual Meeting of the Members. Regarding our regularly scheduled monthly meetings, CAI has stated “Fortunately, technology has reached the point where a call-in number can be published along with the agenda so members who wish to attend can also call into the meeting. All attendees, ex- cept the Board, should mute their phones and only listen to the meeting.” A resolution was passed at our April meeting stating “...until further notice, all meetings of the Board of Di- rectors be held utilizing video and/or audio conferencing allowing full par- ticipation of all Board members, and full access by all Members utilizing Video and/or telephonic means. This motion is made with reference to the Governor’s Executive Order No. 20-12 ordering the closure of certain facili- ties and precluding the assembly of even small groups without adequate spacing. It is also made with knowl- edge that our community is com- prised primarily of people considered vulnerable under the current infec- tious conditions. Notices for this meeting contained, and future notices shall contain, information necessary to enable all Board Members and all Charbonneau Country Club Members who are interested to join the meeting using a video/audio computer connec- tion via Zoom, or an audio connection via any common telephone.” The mo- tion passed unanimously. On another note, last summer CCC hired Schwindt & Company to per- form a full reserve study. At the March 20 CCC special meeting, Dave Schwindt called in to the meeting to review the two different types of re- serve funding; the Cash Flow Method, and the Component Method. After ex- plaining the different methods and their advantages and disadvantages, Dave answered questions from the board. The CCC Board then voted to adopt the Schwindt & Company rec- ommendations to replace the current method of calculating and managing reserves (i.e. spreadsheets) with the recommended “Cash Flow Method and Threshold Funding Model,” as demonstrated in their most current Jan. 21, 2020, Maintenance Plan and Reserve Study Report (originally per- formed in 2019 and updated in 2020). This reserve study can be found on our website. Director Anne Shevlin has an up- date on the progress of the Village Center Development Task Force re- garding our Activities Center. It is in- cluded in this Villager. Several attor- neys are working on the Definitive Agreement with Charbonneau Golf Club. The CCC Board will be meeting to discuss it once it is ready.
