THE DIRECTORS Managing of the Group in accordance with sound corporate governance practices applies throughout. The Board comprises of 13 directors and although independent non-executive directors are not in the majority, they are in an excellent position to guide the Group in to the future. In this regard we do not comply with the principle of majority independence at present, but Senwesbel Limited, the controlling shareholder with a 51% interest in the Group, together with Grindrod Trading Holdings which holds a 20% interest, are not only focused on the continued sustainability of the Group, but also on the long-term livelihood of producers in a highly competitive industry in which they have to participate in a free global market economy. The appointment of strong, independent non- executive directors to the Board, and the balance of a strong executive team, ensure that no individual can exercise undue influence on the independent decision-making process of the Board.
