ARTICLE 4 . – PRODUCTION TEAM
4.01 Role of the Production Team The day -­‐ to -­‐ day management and coordination of any production event ( s ), office related items or other production related matters shall be managed by the Production Team . Individual Directors shall have no direct authority over the production team unless otherwise indicated in the by -­‐ laws or by a majority vote of the Board of Directors .
4.02 Regular Meetings The Production Teams may provide for regular meetings by resolution stating the time and place of such meetings . The meetings may be held either within or without the State of Texas and shall be held at the Corporation ’ s registered office in Texas if the resolution does not specify the location of the meetings . No notice of regular meetings of the Production Teams are required other than a resolution of the Production Team Chair or Director stating the time and place of the meeting ( s ).
4.03 Production Chair Position The Production Chairs of the Corporation shall be but not limited to a Communications Chair , an Entertainment Chair , a Festival Chair , a Logistics Chair , a Media Chair , an Office Manager , a Parade Chair , a Transportation Chair , a Social Media Chair , an Events Chair , Technology Chair , a Volunteer Chair and a Website Chair . The Production Team Chair may create additional Chair positions as well as define the authority and duties of each such position . The Volunteer Chair will recruit , elect or appoint persons to fill the Production Chair positions . Any two ( 2 ) or more Chair positions may be held by the same person providing they can successfully accomplish all responsibilities of both Chair positions . Each Chair position is designed to accommodate two ( 2 ) individuals to equally divide the responsibilities also known as Co -­‐ Chairs . Production Team Chairs shall lead Production Team Committees to successfully fulfill the responsibilities of that committee .
4.04 Duties of Production Chair Production Chairs shall discharge their duties , including any duties as production team members , in good faith , with ordinary care , and in a manner they reasonably believe to be in the best interest of the corporation . A Production Chair shall not be liable if , in the exercise of ordinary care , the director acts in good faith . Each Production Chair shall : a . Report to their specific Director . Coordinate a committee of volunteers to ensure the tasks of the committee are in accordance with the Corporation ’ s strategy .

Develop a working budget for the committee .
d .
Develop , maintain and update a Production Team Committee Chair ’ s Guide .
e .
Develop , coordinate and manage the operations of their Production committee and any sub -­‐ committees .
f . Work in conjunction with the Director to create opportunities for sponsorship and ensure that signed sponsors receive all promised collateral and promotion . g . Hold regular committee meetings , arrange agendas and notify Committee members of meetings . h . Work closely with the Volunteer Chair to develop job descriptions for all production committee members / volunteers . i . Manage all issues that may arise with in the committee . Escalate any unresolved issues to the Director . If dealing with a volunteer issue then escalate it to the Volunteer Chair . j . Work as a team with other Production Team Committee Chairs as needed . k .
Attend workshops , retreats and training sessions that are provided by the Corporation and by other organizations ( if approved ). l . Ensure timely communication with other Production Team Committee Chairs and the Board of Directors . m . Make regular appearances at the Corporation ’ s events to assist in recruiting volunteers .
