ANNUAL MEETING – DECEMBER 2020
The MPST ’ s Annual Board meeting was hold December 10 and current officers for the MPST were re-elected for 2021 – Tom Tagliabue , President ; Bill Hoelscher , Treasurer , and Liza Wisner , Secretary . Barton Bailey , the Director of the Coastal Bend PRIDE Center , was elected to the Board of Directors filling the final position available on the Board . In addition , the Board made several revisions to its bylaws . The following is a summary of the adopted changes :
TITLE – Corrects misspelling of by-laws to bylaws . Article II . Purpose
Section 2.2 Activities – Expand the mission of the Mosaic Project of South Texas beyond only PRIDE events to include any events , programs and activities that further the LGBTQIA + community in general .
Article III . Board of Directors Section 3.6 Annual Meeting – Expand definition to include technology-based meeting tools . Section 3.7 . Meetings - Expand definition to include technology-based meeting tools . Section 3.8 Voting – Allow voting by additional technology , as we are currently doing Section 3.9 Quorum – Expand ways members may be present by including log-in to various technology formats .
Section 3.10 Removal From Office – Corrects an error in 2019 bylaws that a Board Member can be removed for missing three consecutive meetings instead of two for non-participation . Establishes a process for removal of an Officer by a two-thirds vote for failure to perform required duties .
Article VI . Financial Matters Section 6.2 Expenditures – Allows expenditures to be authorized during technology-based meetings . Section 6.3 Contracts - Allows contracts to be authorized during technology-based meetings . Section 6.5 Disbursements – Corrects misspelling of by-laws to bylaws .
