Section 5, Vacancies
Any vacancy occurring between the Annual Meetings shall be
filled by the Board of Directors. Should a vacancy occur in the
office of President, then, the Vice President shall automatically
become the President for the unexpired term so that the vacancy
then to be filled would be the office of Vice President.
Section 6, Duties General
These Officers shall perform the duties prescribed by these Bylaws,
and by parliamentary authority adopted by the Association, and
any special rule of the voting members or the Board of Directors.
Section 7, Duties of the President
(A) The President shall be the Chief Executive Officer of the
Association.
(B) The President shall preside at all meetings of the members,
the Board of Directors, and the Executive Committee.
(C) The President shall enforce these Bylaws and other rules and
regulations of the Association, and perform all the duties
incident to the position and office, and which are required
by law, and shall perform all other duties that may be
prescribed from time to time by the Board of Directors.
(D) The President and the Secretary shall prepare all agendas.
(E)
The President shall be an ex-officio member of all
committees. The President will not chair any committees
other than the Executive Committee. (Amended 02-08,

(F) Travel Reimbursement Requests: All staff/director travel
reimbursement requests will be reviewed and signed off

BYLAWS
Section 4, Elections
By two months prior to the Annual Meeting each year, any
eligible Director (including those to be seated) who wish to run
for an office should submit a standardized biographical sketch to
the AMHA National office. Such information will be placed on
the AMHA website and a copy placed in each member’s packet at
the Annual Meeting. Additionally, candidates may be nominated
from the floor but will be required to present the biography
(printed at their time and expense) at the meeting. All candidates
should be prepared to answer questions from the floor regarding
their qualifications. The officers will be elected by a ma jority of
the votes cast at the Annual Meeting of the members, by ballot,
provided however, that in the event but one person is nominated
for an office the election may be by voice vote. In the event there
are three (3) or more candidates for any office, and no candidate
receives a majority of the votes cast, the nominee receiving the
lowest number of votes shall be dropped from each ballot and
there shall be run-offs until one nominee receives a majority of
