(F) Ordinary Measures
A majority of the votes cast shall be necessary for the election
of an Officer or for the adoption of any other measure.
ARTICLE VII - DIRECTORS
Section 1, Enumeration
(A) Number of Directors
A region with less than 800 members shall have one (1)
Director; a region with over 800 members shall have two
(2) Directors (Amended 02-11, effective 01-12)
(B) Composition of Executive Committee
The Executive Committee shall consist of the President, the
Vice President, the Secretary, the Treasurer, and either the
immediate Past President or Director at Large. (Amended

(C) Responsibility of Board
The Board of Directors shall manage the affairs and assets of
the Association. No employee of the Association shall ever
be denied access to any member of the Board of Directors.

(D) Proportional Representation
There shall be thirteen (13) Regions as defined in this
subsection and the number of Directors, elected from each
of those Regions shall be equitably proportioned to the
number of Regular Members in such region, provided that
at least one (1) Director shall be elected from each Region.
Region 1
Connecticut, Maine, Massachusetts, New Hampshire, New
Jersey, New York, Rhode Island, and Vermont.
Region 2
Michigan, Ohio, and Pennsylvania.
Region 3
Delaware, Maryland, North Carolina, South Carolina, Virginia,
and West Virginia.

(G) Presiding Officer
The presiding Officer of the Annual or special meeting shall
not vote except in the case of a tie, or in situations either to
create or break a tie, the presiding Officer may exercise his/
her right as a voting member to vote or not to vote.
