Each Sponsor or Exhibitor assumes the entire responsibility and liability for losses, damages, and claims
arising out of exhibitor/sponsor’s activities on the premises of the San Francisco Marriott Marquis (“Hotel”)
and will indemnify, defend, and hold harmless the Hotel, its owner, and its management company, as well
as their respective agents, servants, and employees from any and all such losses, damages, and claims.
Sponsor or Exhibitor hereby indemnifies and holds NACBA and Hotel and its owners, its operator, and
each of their respective parents, subsidiaries, affiliates, officers, directors, shareholders, employees, and
agents, free, clear and harmless from any and all liability, judgments, claims cost, expenses (including
attorneys’ fees), government charges or fines, and demands of any kind, including damages for personal
injury or property damage or both, arising out of or caused by its transportation, installation, removal,
maintenance, occupancy or use of the exhibition premises or a part thereof, excluding any such liability
caused by the negligence of the Hotel and its employees and agents.
7. INSURANCE
Sponsor or Exhibitor acknowledges that neither the Hotel, its owners, its operator, nor NACBA, maintain
insurance covering Sponsor or Exhibitor’s property and that it is the sole responsibility of Sponsor or Exhibitor
to obtain business interruption and property damage insurance insuring any losses by Sponsor or Exhibitor.
8. HOST HOTEL
Sponsor or Exhibitor agrees to comply with requirements of the hotel regarding use of the exhibit space.
9. CANCELLATION AND RELOCATION
The National Association of Consumer Bankruptcy Attorneys (NACBA) reserves the right to cancel or
relocate the event. If NACBA cancels or relocates the event due to circumstances within NACBA’s
control, the liability shall be limited to a refund of payment for rental costs paid by the Sponsor or Exhibitor
in accordance with the payment section of the agreement. In the event that NACBA has no control over
the cancellation or relocation of the exhibition, NACBA has no liability of any kind but may, in its discretion,
refund any payments for rental costs paid by the Sponsor or Exhibitor. In any event, NACBA’s maximum
and sole liability, if any, to the Sponsor or Exhibitor in the event of cancellation or relocation shall be for the
return of the rental fee, or a portion of the fee, as NACBA, in its discretion, determines.
10. COMPANY REPRESENTATIVES AT ANNUAL CONVENTION
In order to create a registration and nametag for each of your representatives at the Annual Convention,
we need to receive no later than Friday, April 22, 2016, a list of your authorized representatives at the
