Inside Etsy, Lynn redefined what it means to serve as in-house counsel.“ Many outside counsel act as strategic partners as well. But in-house, I have much greater visibility into evolving plans and decisions, which lets me look around corners and connect dots in ways outside counsel can’ t.”
Her philosophy centers on understanding the why behind every recommendation.“ I encourage attorneys, whether in-house or at firms, to take time to learn the business so they can explain why their advice makes sense in context, beyond just the legal answer,” she explains.
Learning the business isn’ t abstract; it’ s practical.“ If you’ re a public company attorney, sit with finance and investor relations teams; learn GAAP financials. Read investor presentations and strategy decks. That’ s how you build credibility and truly support your business partners,” she advises.
For Lynn, trust sits at the heart of corporate reporting.“ Public company reporting isn’ t just a compliance exercise; it’ s about trust. When you encounter a reporting hiccup, lean into clarity rather than hide behind complex language. Transparency builds long-term credibility,” she affirms.
To maintain the culture of transparency, Lynn embraced Etsy’ s culture of blameless retrospectives. She remarks,“ Quarterly reviews help teams identify communication gaps before they become problems, which is a simple systems principle applied to governance.”
Leading with integrity
Lynn’ s values stem from her upbringing.“ The biggest influence on my values has been my parents,” she says. They always highlighted the importance of being a mensch and e hrlich.“ These are two Yiddish words that don’ t quite translate but essentially mean acting with integrity, decency, and compassion, even when it’ s difficult.”

Connection and compassion absolutely belong in corporate environments

Mentorship, too, played a defining role.“ From one mentor, I learned the importance of giving credit, taking accountability, and always explaining the‘ why’ behind advice. Another instilled the values that human connection and compassion absolutely belong in corporate environments.” Even as Lynn nears retirement, she continues to expand her impact.“ Rather than winding down, I recently took on oversight of Etsy’ s Compliance and Risk, and Labor and Employment teams, in addition to Corporate and Securities, to support our new leadership,” she explains.
Lynn’ s motivation comes back to legacy.“ I hope people see that it’ s never too late to try something new, whether that means starting law school at 30 or moving in-house after 20 years at a firm,” she notes. Her core message is,“ If you’ ve been wanting to do something, go for it!”
Lynn hopes her leadership inspires others to rethink how collaboration works.“ I’ ve tried to model ways of working that elevate crossfunctional teamwork and empower my team to grow into trusted advisors in their own right,” she shares.
For Lynn, the logic of programming never really left; it simply evolved. The syntax changed from code to conscience, but the purpose remained the same: building systems that help people succeed. ■ modern-counsel. com 21
