Stein is a partner in Morgan Lewis’s Business and Finance Practice. Mr. Stein focuses his practice on mergers and acquisitions, private equity and venture capital transactions, and the general representation of operating companies. A significant portion of his practice involves the representation of private equity and venture funds focused on investments in the healthcare and life sciences sector, along with their portfolio companies. Mr. Stein has advised numerous institutional investors on portfolio investment and buy-out transactions, as well as investments in private equity funds. He has also advised numerous company clients on the issuance of equity and debt securities, and serves as outside general counsel to companies in a range of industries, including software and other information technologies, consumer products, B2B and B2C ecommerce applications, life sciences, health services and health information systems. As outside general counsel, Mr. Stein advises clients on a variety of commercial matters, including distribution, reseller, marketing and licensing agreements, commercial joint ventures, financial transactions and Board/shareholder governance. He also regularly represents clients in cross-border transactions and the establishment of multinational corporate structures. Mr. Stein speaks regularly on matters of interest to emerging and growth companies, including corporate finance strategies, corporate governance, mergers and acquisitions, and equity-based incentive compensation. He serves on the board of directors of several non-profit organizations, as well as the advisory board of Tuckerman Capital. Mr. Stein also serves as an advisor to the Dartmouth Entrepreneurial Network and the Barris Incubator at the Tuck School of Business, and is a member of the Boston and American Bar Associations. Mr. Stein earned his JD, magna cum laude, from Harvard Law School in 1992, where he was a member of the Harvard Law Review. He earned his AB, magna cum laude, from Dartmouth College in 1984. Mr. Stein is proficient in French, Russian, and Turkish. Mr. Stein is admitted to practice is Massachusetts. Randall B. Sunberg is a partner in Morgan Lewis’s Business and Finance Practice, vice chair of the firm’s Life Sciences Interdisciplinary Group, co-chair of the firm’s Life Sciences Transactions Practice, and Managing Partner of the Princeton office. Mr. Sunberg’s clients range from early-stage biotechnology start-ups to global pharmaceutical companies, as well as specialty pharma, medical device, diagnostics, and other technology companies. He also advises private equity, venture capital, and investment banking firms focused on the life sciences industry.
