Investment Structure
Worldwide Commercial, PLLC will be investing in and managing The Fund. Additional
investors will be purchasing units as Limited Partners (“LP”) and Worldwide Commercial
will be the General Partner (“GP”). LP returns will be paid by the following cascading
formula:
Limited Partners:
General Partners:
• 8% Preferred Return • 20% of cash flow until LP receives a 12% return
• 80% of cash flow until LP receives a 12% return • 30% of cash flow as LP receives 12-16% return
• 70% of cash flow as LP receives 12-16% return • 40% of cash flow thereafter
• 60% of cash flow thereafter
LP will be entitled to receive an 8% Preferred Return on their capital, that accrues (but does not compound) if not paid.
Once LP receives their Preferred Return, cash flow will be returned based upon the cascading formula illustrated.
