Structuring the Deal
We assist in structuring EB-5 capital raises under both the direct
EB-5 program and the Regional Center program.
Corporate Services
We assist with the corporate formation of Regional Centers,
Investment Vehicles (typically LPs or LLCs), Job Creating
Enterprises, and other entities. In addition, we help negotiate
and draft marketing contracts, equity agreements, management
agreements, regional center leasing and sponsorship agreements,
term sheets, letters of intent, guarantees, security agreements,
side letters, leases, and other documents that may be related to
EB-5 offerings.
Sample Offering Documents for I-924 RC Applications
We prepare generic offering documents in connection with I-924
Regional Center applications. These documents are prepared specifically with care to facilitate expedited Regional Center approval.
Exemplar & Actual Offering Documents
We prepare exemplar offering documents to be submitted to
USCIS as well as specific offering documents which are used
when actually raising capital from foreign investors and filed in
conjunction with the I-526 Immigration Petition. These documents
typically include investor questionnaires, escrow agreements,
limited partnership agreements, subscription agreements, and
private placement memoranda.
Securities Counsel & Advice
We advise on federal and state securities laws with respect to the
sale of securities to EB-5 immigrant investors.
Loan & Equity Documentation
We negotiate and prepare loan and equity purchase documentation
used in EB-5 capital raises, including intercreditor agreements with
other lenders.
