serve • lead • impact on the BOARD of DIRECTORS T he board of directors is responsible for determining the objectives and policies of United Ag. It is the board that issues instructions to the general manager. Board elections are conducted at United Ag’s annual meeting, typically held in June. A nominating committee takes and makes recommendations, but candidates can also be nominated at the meeting. qualifications • Personal characteristics of honesty, loyalty and stability • Sign letter of confidentiality & attend board meetings regularly • Knowledge of cooperative principles and practices • Ensure the operations of the cooperative are in accordance with the articles, by-laws and applicable state and federal regulations • Ability to analyze, organize and arrive at a decision • Develop and adopt short and long range plans consistent with organization’s objectives • Exhibit sound business managements through successful management of personal business • Adopt board policies as guidelines for baord and management direction and action • Courage to support the policies of the board • Adopt personnel policies to provide employee direction and satisfaction • Supportive of the cooperative in voice and patronage • Review and analyze financial statements, budget comparisons, and other financial reports for the purpose of maintaining financial stability and growth • Have maintained compliance with coop credit policy and be a member of good standing • Willingness to attend local, state and regional meetings, seminars and training institutes • Courage to resist pressures from special interest groups 10 responsibilities • Employ a competent auditor & legal counsel • Employ and appraise performance of the general manager • Maintain an employee wage and salary plan • Conduct meetings of the membership
