Board updates

The NANA Board of Directors met on July 29-30, 2026, in Kotzebue, Alaska.

ACTIONS
A resolution authorizing the 2027 Annual Meeting of Shareholders date in Kotzebue, AK, on Monday, March 15, 2027
• The Board authorized the Annual Meeting of Shareholders of NANA to be held on Monday, March 15, 2027, in the City of Kotzebue, State of Alaska, at the High School, at 1:00 p. m.
A resolution approving 2027 Annual Meeting of Shareholders proxy prize list
• The board declared the prizes for the drawings for the March 15, 2027, Annual Meeting of Shareholders.
A resolution approving the shareholder relations committee charter
• The board approved the shareholder relations committee charter which sets out the composition, powers, and duties of the shareholder relations committee.
A resolution authorizing a contribution to the NRC Shareholder Trust for the purpose of the FY 2026 regular fall distribution
• The board authorized the contribution of $ 34.25 million to the NRC Shareholder Trust for a spring distribution to trust beneficiaries( shareholders) in the amount of $ 16.87 per trust unit( share), with a record date of Nov. 9, 2026, and a distribution date of on or about Nov. 13, 2026. $ 30.7 million will be paid as distributions and the remaining amount is used to pay taxes and fees associated with the distribution.
A resolution amending the 2026-2028 board meeting dates
• The board approved the update of the 2026-2028 board meeting dates.
A resolution approving the revised board nominations policy
• The board approved amendments to the nominations policy to update and clarify the requirements for candidates for board seats, and the procedures for elections to select candidates for village-designated board seats.
A resolution approving the charter for the board’ s compensation committee
• The board approved the compensation committee charter which sets out the composition, powers and duties of the compensation committee.
Additionally, following the first day of the regular board meeting, Vice Chair Marvin Barr called the NRC Shareholder Trust Trustee meeting to order on July 29, 2026, in Kotzebue, AK.
The NRC Shareholder Trustees took the following actions:
A resolution appointing officers of the NRC Shareholder Trust
• The NRC Shareholder Trust Trustees appointed Adam Ferguson as chair, and Alice Adams as vice chair.
A resolution to declare a 2026 fall distribution
• The NRC Shareholder Trust Trustees declared a fall distribution to the beneficiaries of the Trust to issue on or about Nov. 13, 2026, in the amount of $ 16.87 per trust unit( share) to fulfill the intention of the NANA Regional Corporation, Inc.’ s board of directors’ decision approving resolution 2026-39 to contribute funds to the Trust for a fall distribution.
The next regular meeting of NANA’ s board of directors will be held on Nov. 5-6.

NANA announces fall 2026 NRC Shareholder Trust distribution

The distribution is $ 16.87 per share, scheduled on or about Nov. 13, 2026.

“ We need to be as ready as we can for today and for the future. From the beginning, the purpose of this distribution has been to help our people,” said NANA Board Chair Atmaġuq Lee“ Big Boy” Staheli.“ We know many shareholders and families are under real financial pressure right now, and we are pleased to provide this fall distribution as one way NANA can offer meaningful support.”
Shareholders should update their contact information by 5 p. m. AKST on Nov. 6, 2026. All eligible shareholders must have a current mailing address on file with the records department and are strongly encouraged to sign up for direct deposit to avoid distribution delays.

All NANA shareholders of record are beneficiaries of the NRC Shareholder Trust, from which the distribution will be distributed. Beyond distribution, NANA brings value to shareholders through social and cultural contributions, economic development, cultural initiatives, and other important programs.
In 2023, the NANA Board approved a dividend distribution policy, which provides clear, consistent direction for declaring an annual dividend to shareholders. The dividend distribution policy also ensures the company’ s liquidity, enabling future growth and keeping NANA financially stable.

Nov. 6, 2026 Deadline for shareholders to update contact information, sign up for direct deposit, or enroll a new Class D shareholder.
Nov. 9, 2026 Record Date
Nov. 13, 2026 Distributions are deposited for shareholders who have enrolled, or checks are mailed on or about this date.
