favor Merger Agreement
With the overwhelming
support
of our community,
as evidenced
at the
Jan. 28 special
meeting, the
HARP CCC Board has
moved forward
with great enthusiasm on both the
building of our new activities center
and the merger with Charbonneau
Golf Club.
Director Anne Shevlin wrote a detailed
article on our progress on the
Activities Center last month. This
month, I am happy to report that both
the Charbonneau Country Club
Board and the Charbonneau Golf
Club Board have unanimously voted
in favor of the Agreement and Plan of
Merger.
Almost two years ago, Tony Holt
and Joe Brouillette met for coffee to
discuss ways that our two organizations
could work more closely together.
That first meeting set the stage
for the events of today. Attorneys for
both sides contributed to the final
document. Included in this merger is
substantial reserves that will be used
exclusively for golf course expenditures.
It also includes the water company,
which has rights to pump water
from the Willamette River. Our CCC
Vice President Gene Tish, who is a
retired attorney, also had much input
and truly knows and understands every
sentence in this agreement.
There is not a question about this
document that he could not answer.
He will be a very valuable resource
for all of us in the months ahead. Several
other CCC Board members, Gary
Newbore, Jim Gibbons, and John
McLain, put together our due diligence
report. Gary tells me he has a
huge boxful of every bit of information
they collected. Their report has
been on our website for over a month.
The next step, at this writing, is the
shareholder vote. Each shareholder
received the complete Merger Agreement,
along with other pertinent information,
via Federal Express, in
mid-May. They were asked to cast
their vote for or against this merger.
There are 542 Shareholders — a 51%
approval vote is needed for this to
pass. The final decision rests with
them. By the time you are reading
this, we may have already made an
announcement regarding the results
— I certainly hope so. The CGC has
asked their legal advisors at Tonkon
Torp LLP to coordinate this important
mailing and vote. Both boards
strongly believe that this merger is in
the best interest of our community,
our property values, and our way of
life. This is a historical step for our
community and it has been an honor
for me to be a part of it. Director Jim
Gibbons wrote an article entitled
“Why Merge,” which is also included
in this paper.
On another note, we are planning
to dedicate a special memorial to Tony
Holt, past CCC president, who volunteered
countless hours to our community.
Tony was president when we
purchased the land for the new Activity
Center. The Village Center Development
Task Force will decide on an
appropriate memorial once the building
is finished.
This month we are celebrating our
fathers. I lost my father in March of
this year. I was truly blessed to have
him in my life for so many years.

Graham: “A good father is one of the
most unsung, unpraised, unnoticed,
and yet one of the most valuable

fathers.
